Resale Certificate (Reseller Certificate) — Buy Wholesale, Tax-Free

A resale certificate is the document your suppliers need before they will sell you inventory without sales tax — and before most wholesale brands and distributors will approve your account. We get yours registered in the right state, in the right form, for any US business, including foreign-owned LLCs.

The Basics

What is a resale certificate?

A resale certificate (also called a reseller certificate, resale license or sales tax exemption certificate for resale) proves to a supplier that you are buying goods to resell them — not to use them yourself. Sales tax is meant to be charged once, to the final customer, so the supplier leaves tax off your purchase and you collect it later when you sell.

DocumentWhat it doesWho you deal with
Seller's permit / sales tax permitYour registration with the state Authorizes your business to collect sales tax from customers and remit it to the state. Required in every state where you have sales tax nexus. The state's Department of Revenue / tax authority
Resale certificateThe document you hand to suppliers Lets you buy inventory, stock and resale goods without paying sales tax at purchase. It quotes your registration number and certifies the goods are for resale. Your wholesalers, distributors and brands

In most states the permit comes first: you register for sales tax, and the resale certificate follows from that registration. Some states issue the certificate automatically with the registration; others have a state form you complete for each supplier. Either way, we handle the whole chain — and if you need the underlying registration too, see our sales tax registration service.

Who Needs One

Built for sellers who buy stock

If you buy goods in one place and sell them in another, a resale certificate is part of your basic paperwork — US-based or not.

Amazon, eBay, Shopify & Walmart sellers

Buy inventory from US distributors tax-free instead of paying sales tax on every order and eating into your margin.

Retailers & wholesalers

Open wholesale accounts and reorder stock under a blanket certificate kept on file with each supplier.

Manufacturers & assemblers

Components and raw materials that become part of a product you sell can also be bought under a resale certificate.

Non-resident founders

A foreign-owned US LLC can register and hold resale certificates like any US business — no US home address of your own needed. We set up the LLC and EIN first if you don't have them.

All-State Coverage

How resale certificates work, state by state

There is no single national resale certificate — each state runs its own system. The good news: the 45 states with a statewide sales tax fall into a few clear patterns, and we work in all of them.

Issued with your registration

Some states hand you the certificate as part of registering for sales tax. Florida is the classic example: its Annual Resale Certificate (Form DR-13) is issued automatically to registered dealers — valid for the calendar year and reissued each year while your account stays active.

A state form for each supplier

In states like California, New York and Texas, you complete the state's own resale certificate for each supplier, quoting your permit or registration number (New York uses Form ST-120). These certificates generally have no fixed expiry date while your registration stays active.

State-issued reseller permits

A few states issue their own reseller permit instead of a buyer-filled form — Washington's reseller permit is valid for four years (shorter for some newer businesses) and must be renewed before it lapses.

Multistate certificates

Buying from suppliers in several states? The Multistate Tax Commission (MTC) Uniform Sales & Use Tax Resale Certificate is accepted by the 36 jurisdictions listed on the form, and the Streamlined Sales Tax (SST) Certificate of Exemption covers its 24 member states — one form instead of dozens, where each state allows it.

States that want their own registration

Some states — including California, Florida, Hawaii, Illinois, Maryland and Pennsylvania — often will not accept an out-of-state certificate. Suppliers there usually require you to be registered in that state, or to use its own form. We tell you upfront which of your supplier states fall in this group.

No-sales-tax states

New Hampshire, Oregon, Montana, Alaska and Delaware have no statewide sales tax, so there is no resale certificate to obtain or present there. (A few Alaska localities levy a local tax.) If your business is based in one of these states but buys from suppliers elsewhere, you may still need a certificate route — ask us.

Keep It Active

What if your resale certificate goes inactive?

A resale certificate is only as good as the sales tax account behind it. In every state, the certificate lives and dies with your registration — Florida states it plainly: its Annual Resale Certificate is valid only while you remain an active, registered dealer.

Why accounts go inactive

Sales tax returns are not filed, collected tax is not remitted, the registration is allowed to lapse, the business closes or moves without updating its details — or, in annual-certificate states like Florida, the year simply rolls over and last year's certificate expires on December 31.

What happens then

Suppliers can refuse the certificate — many verify registration numbers against state records before approving an order. Your wholesale account may be paused, brand approvals stall, and suppliers start charging you sales tax again. Tax you skipped using a dead certificate can be assessed later, with penalties and interest.

How we fix it

We check the status of your registration, bring missing filings up to date, reactivate the account with the state, and get a fresh certificate issued — then you re-send it to every supplier so tax-free buying and approvals resume. Message us before a big order, not after a rejection.

How It Works

From first message to tax-free buying

Four steps, all handled online. The exact form depends on your state — the process doesn't.

1

Tell us where you buy

Message us on WhatsApp with your business details and the states your suppliers are in. We confirm the price before anything starts.

2

We map the right document

State-issued certificate, a state form per supplier, or a multistate certificate — and we check whether your existing registration is active or needs reactivating.

3

We register & prepare

Sales tax registration where required, then the correct certificate prepared with your registration number, ready to sign and send.

4

You buy tax-free

Send the certificate to your suppliers and brands once — most keep a blanket certificate on file — and note the renewal date we flag for you, such as Florida's annual cycle.

What we need from you

  • Business legal name, entity type and formation state — or we form the LLC first
  • Your EIN confirmation letter — or we obtain the EIN for you
  • Business address and a short description of what you sell
  • The states where your suppliers and distributors are located
  • Estimated monthly sales and purchases — state applications ask for these

Use it correctly — the honest rules

A resale certificate covers only goods you will resell, or components that become part of what you sell. It never covers office supplies, equipment or personal purchases — those owe use tax, and misuse is one of the fastest routes to an audit, penalties, or losing the exemption.

Give the certificate to your supplier at or before the purchase, keep a copy of every certificate you issue, and keep your purchase records for at least the state's audit window (commonly three to four years). If your business name, address or ownership changes, tell us — the certificate details must match your registration.

Some states also ask for a bond or waiver during registration — if yours does, our surety bond waiver service handles that side too.

FAQs

Resale certificate questions, answered

Is a resale certificate the same as a seller's permit?
No. A seller's permit (sales tax permit) is your registration with a state — it authorizes you to collect sales tax from customers and remit it. A resale certificate is the document you give your suppliers so they do not charge you sales tax on goods you will resell. In most states you need the registration first, because the certificate carries your state registration number.
Can a foreign-owned (non-resident) LLC get a resale certificate?
Yes. Once your US LLC and EIN are in place, your business can register for sales tax and obtain resale certificates like any US company — you do not need to live in the US. If you do not have the LLC or EIN yet, we set those up first as part of the same job.
Do I need a different resale certificate for every state?
A certificate is tied to a state registration. Suppliers in many states accept the Multistate Tax Commission (MTC) uniform certificate, the Streamlined Sales Tax certificate, or your home-state certificate when you are not required to register in their state. Some states — including California, Florida, Hawaii, Illinois, Maryland and Pennsylvania — often require their own state registration or state form instead. We map the right document for each state where your suppliers are.
What happens if my resale certificate is inactive or expired?
An inactive or expired certificate can be refused by suppliers: they will charge you sales tax, pause your wholesale account, or reject your brand approval application. Tax you skipped with a dead certificate can also be assessed later, with penalties and interest. Florida's Annual Resale Certificate expires every December 31. We reactivate the underlying registration and get a fresh, valid certificate issued and sent to your suppliers.
How long does a resale certificate stay valid?
It depends on the state. Florida issues an Annual Resale Certificate that expires on December 31 each year and is reissued to active dealers. Washington's reseller permit is valid for four years. Certificates in states such as California, Texas and New York have no fixed expiry date, but they stay valid only while your sales tax registration remains active — and suppliers may still ask you to refresh a blanket certificate from time to time.
Can I use my resale certificate for office supplies or personal purchases?
No. A resale certificate covers only goods you will resell, or components that become part of a product you sell. Using it for office supplies, equipment or personal items is misuse: the tax becomes due as use tax, and penalties can apply. Keep records of your resale purchases in case of an audit.
