What It Is

What is a company amendment?

When your company was formed, the state recorded its legal name, address, management and registered agent in its founding document. An amendment is the official state filing that changes that record later. Until it is filed, the old information is still your company's legal information — no matter what you have updated privately.

LLC amendments

An LLC's founding document is its Articles of Organization — called a Certificate of Formation in states such as Delaware, Wyoming and others. To change it, many states require Articles of Amendment or a Certificate of Amendment. Some states handle smaller LLC updates, like a registered agent or address change, on a shorter change form instead. Member and manager changes are also often recorded in the operating agreement, so the state filing and the internal document need to agree.

Corporation amendments

A corporation's founding document is its Articles of Incorporation — called a Certificate of Incorporation in states such as Delaware. Corporations change it with Articles of Amendment or a Certificate of Amendment. Certain corporate changes, including some changes to shares or stock, can require board and shareholder approval before the state filing is made. We confirm the approval and form your corporation needs before filing.

Important distinction: an LLC amendment and a corporation amendment are not interchangeable, and the correct document name and form depend on both your entity type and your state. Filing the wrong form is a common reason amendments are rejected or delayed — we check your state record first, so the filing is right the first time.
Amendment Types

Changes we can file for you

These are the amendments and state record changes clients ask us for most often. If your change is not listed, send it to us on WhatsApp — if it is a state filing, we can usually handle it.

Company Name Change

Change the legal name of your LLC or corporation on the state record. We prepare the amendment, check the new name against your state's naming rules, and file it — then guide you on updating the IRS, your bank and your payment accounts to match.

Business Address Change

Update the principal business address or mailing address the state holds for your company, so state notices, bank records and marketplace verification do not keep going to an old address.

Member / Manager Change

Add, remove or replace a member or manager in your LLC. We file the state update where your state requires one, and prepare the supporting internal update — such as an amended operating agreement — so your records stay consistent.

Registered Agent Change

Change your registered agent or registered office address in your formation state. The new agent must be in place without a gap, because the agent is how the state and legal process servers reach your company.

Business Purpose / Activity

Add or change the business purpose or activities recorded for your company — for example when an LLC formed for one activity starts selling, consulting or holding assets as well.

Ownership & Management Details

Correct or update ownership and management information held by the state. Some of these updates are made by amendment, some on an annual report or a state change form, and some only in internal records — we tell you which route applies before filing.

When You Need One

When do you need to file an amendment?

File an amendment (or the state change form your state uses) as soon as a recorded detail changes — leaving the old record in place creates mismatches that surface at the worst possible time.

Common triggers

  • You rebrand, rename the company, or correct a name error from formation
  • Your business moves, or the mailing address the state holds is no longer valid
  • A partner joins or leaves, or management of the LLC changes hands
  • Your registered agent resigns, or you switch to a new agent service
  • You start a new line of business beyond the purpose originally recorded

Problems an outdated record causes

  • Bank, Stripe, PayPal or Amazon verification fails because names or addresses do not match
  • State notices and legal documents go to an old agent or old address
  • Annual report or good-standing checks show information you thought was already changed
  • Contracts and invoices are issued in a legal name the state no longer recognises
  • BOI and tax records fall out of step with the state record
How It Works

From old record to approved amendment in 4 steps

The whole process is handled remotely — you never deal with a state portal or a paper form yourself.

Message us on WhatsApp with your company name, formation state, entity type (LLC or corporation) and what needs to change — old detail and new detail.

2

We check the state record

We confirm your current record, the exact form your state requires, and whether anything else — IRS, bank or BOI — is affected. You get the price on WhatsApp before anything is filed.

3

We prepare & file

We prepare the Articles / Certificate of Amendment (or state change form), arrange any signature or internal approval needed, and submit it to the state.

4

Confirmed copy delivered

Once the state approves the filing, we send you the confirmed amendment document, plus a short checklist of the accounts and records to update with the new details.

Getting Started

What we need from you

Have these ready and the filing can usually be prepared without going back and forth. Do not worry if one item is missing — send what you have and we will pull the current state record with you.

Checklist

  • Exact current legal name of the company, exactly as the state has it
  • Formation state and entity type — LLC or corporation
  • State file / entity number, if you have it (from your formation documents)
  • Formation documents — Articles of Organization / Certificate of Formation, or Articles / Certificate of Incorporation
  • The change itself: old detail and new detail, in full
  • For member/manager changes: full names and addresses of the people being added or removed
  • For agent changes: the new registered agent's name and US street address in the formation state

Your EIN does not change

In most cases a state amendment does not change your EIN. The company keeps the same federal tax ID after a name, address, member/manager or registered agent amendment. What does need updating is everywhere that ID is used: the IRS record for a legal name or address change, and your bank, Stripe, PayPal and marketplace accounts, so every name and address matches.

Banking, Stripe & BOI updates

A state approval on its own does not update anyone else. After an amendment, update your business bank account (Mercury, Wise or a traditional bank), Stripe, PayPal and seller accounts with the filed document — they will usually ask for the state-stamped copy we deliver. If a BOI filing with FinCEN reported any of the details that changed, that record generally needs updating too. We flag each of these for your specific change, and we can handle the BOI update for you.

FAQ

Company amendment questions, answered

Still unsure whether your change needs an amendment, a change form, or just an internal update? Ask us on WhatsApp — we will tell you before you pay anything.

What is a company amendment?

A company amendment is a formal filing with the state that updates the information in your company's founding document after the company has already been formed. For an LLC, that founding document is the Articles of Organization (called a Certificate of Formation in some states). For a corporation, it is the Articles of Incorporation (called a Certificate of Incorporation in states such as Delaware). The amendment does not create a new company — it updates the official state record of the existing company so banks, payment processors, marketplaces and state agencies all see the same, current information.

What is the difference between an LLC amendment and a corporation amendment?

The process and the document name differ by entity type and by state. Many LLCs file Articles of Amendment or a Certificate of Amendment to their Articles of Organization / Certificate of Formation. Corporations file Articles of Amendment or a Certificate of Amendment to their Articles of Incorporation / Certificate of Incorporation, and some corporate changes — such as certain share or stock changes — can require board and shareholder approval before the state filing. Some states also handle smaller LLC updates, such as a registered agent or address change, on a shorter change form instead of a full amendment. We check your state and entity type first and file the exact form your state requires.

What types of changes need an amendment?

Common changes include a company name change, a principal business address or mailing address change, adding, removing or replacing a member or manager in an LLC, changing the registered agent or registered office address, and adding or changing the business purpose or activity. Whether a specific change needs a full amendment, a state change form, an annual report update, or only an internal document such as an amended operating agreement depends on your state — we confirm this for you before filing so you do not pay for the wrong filing.

Does my EIN change after an amendment?

No — in most cases your EIN stays the same after a state amendment. A name change, address change, member or manager change, or registered agent change at state level does not by itself create a new company or a new EIN. You should still inform the IRS of a legal name or address change using the method the IRS specifies for your entity type, and update your bank, Stripe, PayPal, marketplaces and other accounts so the name and address match everywhere. If the ownership or tax structure itself changes in a more fundamental way, the tax treatment can be different — tell us what changed and we will flag if anything further is needed.

Do I need to update my BOI filing after an amendment?

If your company is required to file Beneficial Ownership Information (BOI) with FinCEN and the amendment changes information that was reported — for example the company's legal name, address, or a beneficial owner's details — the BOI record generally needs to be updated as well. Rules and exemptions have changed over time and depend on whether the company is a US domestic company or a foreign company registered in the US. We check your current position when we file your amendment and can prepare the BOI update at the same time if one is required.

How long does a company amendment take?

Timing depends on the state, the type of change and how the state processes filings. Some states approve straightforward changes in a few business days, while others take longer, especially for filings reviewed manually. Before you pay anything, we give you a clear, honest estimate for your state and change type, and we keep you updated until the state confirms the filing.
